3. Project Process and Engagement
3.1 Project Initiation
- Projects begin with a consultation to understand requirements
- We provide detailed quotes including scope, timeline, and pricing
- Projects commence upon signed agreement and initial payment
- All project specifications are documented in writing
3.2 Client Responsibilities
- Provide accurate and complete project requirements
- Supply necessary content, assets, and access credentials
- Respond to requests for feedback within agreed timeframes
- Make payments according to the agreed schedule
- Test and approve deliverables in a timely manner
3.3 Our Responsibilities
- Deliver services according to agreed specifications
- Maintain professional standards and industry best practices
- Provide regular project updates and progress reports
- Ensure confidentiality of client information
- Deliver projects within agreed timelines
4. Pricing and Payment Terms
4.1 Pricing Structure
- Fixed Price Projects: Agreed total cost for defined scope
- Hourly Rates: Time-based billing for ongoing work
- Retainer Agreements: Monthly fees for continued services
- Package Deals: Bundled services at discounted rates
4.2 Payment Terms
- 50% deposit required before project commencement
- Milestone payments for larger projects
- Final payment due upon project completion
- Monthly invoicing for retainer and ongoing services
- Payment due within 14 days of invoice date
4.3 Late Payments
- Late payment fees: 2% per month on overdue amounts
- Services may be suspended for payments over 30 days overdue
- Additional collection costs may apply
5. Intellectual Property Rights
5.1 Client Ownership
- Client owns all custom code and content upon full payment
- Source code provided upon project completion
- Client retains ownership of provided content and materials
5.2 Axcendy Rights
- We retain rights to general methodologies and techniques
- Third-party tools and libraries remain under their respective licenses
- We may showcase completed work in our portfolio (with permission)
- Pre-existing Axcendy IP remains our property
5.3 Third-Party Components
- Open-source software subject to their respective licenses
- Premium plugins and themes licensed separately
- Client responsible for ongoing license fees where applicable
6. Warranties and Support
6.1 Service Warranty
- 90-day warranty on custom development work
- Bug fixes provided at no charge during warranty period
- Warranty covers defects in original specifications only
- New feature requests outside warranty scope
6.2 Ongoing Support
- Maintenance packages available for ongoing support
- Security updates and regular backups included
- Priority support for maintenance clients
- Support hours: Monday-Friday, 9 AM - 6 PM GMT
6.3 Limitations
- No warranty on third-party services or plugins
- Client modifications void warranty coverage
- Force majeure events exclude service guarantees
7. Liability and Indemnification
7.1 Limitation of Liability
- Our liability limited to the total project value
- No liability for indirect or consequential damages
- No liability for third-party service interruptions
- Client responsible for data backup and security
7.2 Client Indemnification
Client agrees to indemnify Axcendy against claims arising from:
- Client-provided content or materials
- Violation of third-party rights
- Misuse of delivered services or products
- Non-compliance with applicable laws
8. Confidentiality and Data Protection
8.1 Confidentiality
- All client information treated as confidential
- Non-disclosure agreements available upon request
- Team members bound by confidentiality obligations
- Secure handling of sensitive business information
8.2 Data Protection
- GDPR and UK data protection compliance
- Secure data storage and transmission
- Data retention only as long as necessary
- Client data rights respected and upheld
9. Termination
9.1 Termination by Client
- 30-day written notice required for ongoing services
- Payment due for completed work
- Delivery of completed work upon final payment
- No refund of deposits or completed milestones
9.2 Termination by Axcendy
- Immediate termination for non-payment
- Termination for breach of terms
- 30-day notice for convenience termination
- Return of client materials upon termination
10. Changes and Additional Work
10.1 Scope Changes
- Written approval required for scope changes
- Additional work billed at agreed hourly rates
- Timeline adjustments for scope increases
- Change request documentation maintained
10.2 Emergency Work
- Emergency support available outside business hours
- Premium rates apply for urgent requests
- Response time guarantees for critical issues
11. Governing Law and Disputes
11.1 Applicable Law
- These Terms governed by UK law
- English courts have exclusive jurisdiction
- Disputes resolved through UK legal system
11.2 Dispute Resolution
- Good faith negotiation preferred
